1. Scope
These terms apply to all services provided by Varde Advisory, including interim CISO services, business continuity and disaster recovery consulting, programme governance, and any related advisory work.
2. Engagement process
All engagements begin with a written proposal defining scope, deliverables, timeline, and fees. The proposal must be signed by both parties before work commences. No verbal agreements or informal understandings create contractual obligations.
3. Fees and payment
Fees are quoted in the proposal and are exclusive of VAT (BTW) unless stated otherwise. Payment terms are 14 days from invoice date for Dutch clients; 30 days for international clients. Late payment may result in suspension of services.
- For interim CISO or retainer engagements: monthly invoicing in arrears.
- For defined-scope projects: milestone-based billing as outlined in the proposal.
- Expenses (travel, accommodation, third-party tools) are invoiced at cost with prior approval.
4. Confidentiality
All client information, documents, and findings are treated as confidential. We do not share client names, case details, or outcomes without explicit written consent, except where required by law or regulatory obligation.
5. Independence and conflicts
Varde Advisory is vendor-independent. We do not resell software, accept commissions from vendors, or hold equity in companies we recommend. If a potential conflict of interest arises, we will disclose it immediately.
6. Liability
Our liability is limited to the fees paid for the specific engagement in question. We are not liable for indirect, consequential, or punitive damages. This limitation does not apply in cases of wilful misconduct or fraud.
7. Termination
Either party may terminate an engagement with 30 days' written notice. The client remains liable for fees incurred up to the termination date. In the event of non-payment or material breach, Varde Advisory may terminate immediately.
8. Intellectual property
All deliverables (reports, frameworks, documentation) become the client's property upon full payment. Varde Advisory retains the right to use anonymised methodologies and approaches in future engagements, provided no client-identifiable information is disclosed.
9. Governing law
These terms are governed by the laws of the Netherlands. Disputes will be resolved through the competent court in Amsterdam, unless both parties agree to binding arbitration.
